Terms of Service
Intro:
The following is a legal agreement between you, the content creator or user(s), and the owners and operators of the CoopCollab.com website and all related sites, software, apps, and other services that we provide. Your use of these services and resources, and how we determine they can be used/distributed to you constitutes an agreement between you and CoopCollab bound by the terms and conditions in this Terms of Service document.
‘Content’ will be referring to all images, videos, and audible materials available under the CoopCollab license. Content more specifically refers to: Image(s)” includes photographs, vectors, graphic designs, drawings, and illustrations, “Video(s)” includes any moving images, animations, films, or other visual representations. “Audible Material(s)” includes alert sounds, background tracks, theme songs, and any additional audible tracks made available through our services.
We reserve the right to change or modify portions of these Terms at any time. If we do this, we will publish the changes on this page and will indicate at the top of this page the date these Terms were last revised. Changes will become effective immediately and your continued use of our services after the date of said changes constitutes your acceptance of the new Terms.
Requirements and Registration
Use of CoopCollab and its resources requires an official acceptance of the terms of service and all applicable laws and regulations regarding it. We do not offer services to users previously removed from the services provided by CoopCollab. Registration may be required to access specific features of CoopCollab. If you choose to register, you agree to provide and maintain true, accurate, and current information as prompted by the registration form(s).
a. Deactivation
You can request a deactivation of your vendor account at any time. If you wish to deactivate a vendor account please contact: Coopcollabmarket@gmail.com as we will have to authenticate your permissions to remove you from our registration list and store area.
Privacy Policy
Registration data and additional information about you are governed by our Privacy Policy. Your privacy is extremely important to us. For more specific information about how we collect, use, or disclose information can be found in our Privacy Policy.
If you are under 16 years old, you must have the approval of your parent, guardian, or teacher in order to participate.
a. Account and Password
In order to open an account with CoopCollab, you will be asked to provide us with specific information such as an account name and password.
You are solely responsible for maintaining the confidentiality of your account and password, for restricting access to your computer, and for all activities that occur under your account or password. Please make sure the information you provide us with during your initial registration and at all other times is true, accurate, current, and complete to the best of your knowledge.
Unless expressly permitted in writing by CoopCollab, you may not sell, rent, lease, share or provide access to your account to anyone else, including without limitation, charging anyone for access to administrative rights on your account. CoopCollab reserves all available legal rights and remedies to prevent unauthorized use of the CoopCollab services, including, but not limited to, technological barriers, IP mapping, and, in serious cases, directly contacting your Internet Service Provider (ISP) regarding such unauthorized use.
Use of the Service
In connection with your use of our services you will:
Not use any data mining, robots, scraping or similar data gathering or extraction methods. The technology and software regarding CoopCollab and its services is the property of CoopCollab and our licensors, affiliates and partners and you are granted no license in respect of that software.
Agree not to copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in such technology or software. Any rights not expressly granted herein are reserved by CoopCollab.
Not conduct a large scale or systematic copying of content, including using any of the methods referred to above, is prohibited except as expressly authorized by CoopCollab. This applies to all content, including content made available as part of the public domain. Our services are protected by copyright as a collective work and/or compilation, pursuant to copyright laws, international conventions, and other intellectual property laws.
Uploading Content
By uploading Content to CoopCollab, you grant CoopCollab and its users an irrevocable, worldwide, non-exclusive right to use and download content for almost any purpose non-commercial. For the avoidance of doubt, this includes the right of CoopCollab to distribute the Content for marketing use under the CoopCollab license and any other license offered by CoopCollab from time to time.
You are solely responsible for the content you upload. You warrant that:
You own all proprietary rights of the content you upload to and that the content does not infringe on copyright, property right, trademark or other applicable rights of any third parties; and that you have obtained a non-exclusive, perpetual, irrevocable, worldwide, and royalty-free Model and/or Property Release, and/or any other permission necessary concerning the use of this work for any purpose, without any conditions, unless such conditions are required by law.
You acknowledge and accept that even with our best efforts, CoopCollab cannot be held responsible for the acts or omissions of its users, including any misuse or abuse of any content you upload.
CoopCollab reserves the right to remove any content at any time, for any reason, including if we believe it’s defective, of poor quality, or in violation of these Terms.
Termination
We may terminate or suspend your account immediately, without prior notice or liability for any reason whatsoever, including without limitation, if you breach the terms of service. Upon termination, your right to use CoopCollab will immediately cease.
Indemnification for Breach of Terms
You agree to indemnify CoopCollab from and against any and all loss, expenses, damages, and costs, including without limitation reasonable attorneys fees, resulting, whether directly or indirectly, from your violation of the Terms. You also agree to hold harmless CoopCollab from and against any and all claims brought by third parties arising out of your use of our website.
Warranty and liability
THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS”. WE OFFER NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY CONTENT, THE WEBSITE, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY FOR A PARTICULAR PURPOSE. COOPCOLLAB DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE OR ITS CONTENT WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR-FREE.
COOPCOLLAB SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF YOUR USE OF THE WEBSITE OR ITS CONTENT.
Idea Submission
By submitting ideas, suggestions, documents, and/or proposals to CoopCollab you acknowledge and agree that CoopCollab will be entitled to use or disclose such submissions for any purpose in any way without providing compensation to you.
Trademarks
The use of CoopCollab trademarks or regarding CoopCollab’s services must be in accordance with any guidelines that CoopCollab may provide you from time to time. All other trademarks are the property of their respective owners.
When using or opening an account with CoopCollab on behalf of a company, entity, or organization, you represent and warrant that you: are an authorized representative of that Subscribing Organization with the authority to bind that organization to these Terms of Service and grant the licenses set forth herein; and agree to these Terms of Service on behalf of such Subscribing Organization.
Review
If any provision of these Terms of Service or any Guidelines is held to be unlawful, void, or for any reason is unenforceable, then that provision will be limited or eliminated from these Terms of Service to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.
The Terms of Service and the Privacy Policy, is the entire agreement between you and CoopCollab relating to the subject matter herein and will not be modified except in writing, signed or otherwise agreed to by both parties, or by a change to these Terms of Service or Guidelines made by CoopCollab.
CoopCollab respects the intellectual property of others and follows the requirements set forth in the Digital Millennium Copyright Act (“DMCA”) and other applicable laws.
